Senior Commercial Counsel



SafeBreach is looking for an experienced commercial attorney. As Sr. Commercial Counsel, you will work with cross-functional teams worldwide and provide legal support for reviewing and negotiating customer and business channel agreements, providing legal support for revenue-generating activities and procurement transactions. The position is remote and reports directly to the CFO.

The Impact You Will Have

  • Become an essential member of the CFO Organization by reviewing and negotiating all customer agreements, safeguarding us while facilitating our rapid revenue growth.
  • Help maintain our Go-To-Market legal agreements, ensuring that all terms and policies are excellent documents that allow both rapid revenue growth and long-term stability of the Company.
  • Review and negotiate a broad range of inbound vendor agreements, including SaaS services, technology licensing, IT/infrastructure, facilities, professional services, and consulting agreements and ancillary documents such as NDAs, DPAs, and security addendums, while balancing expansive revenue growth with long-term risk
  • Handle major engagements and negotiations.
  • Lead projects and work with cross-functional teams, including procurement, finance, infosec, and Sales, to improve internal processes and increase the efficiency and scalability of commercial legal support.
  • Deliver training and help educate internal business partners on best practices, processes, and other matters relevant to commercial legal support.


  • Minimum 5 years experience, including at least 3 in-house in a relevant role.
  • Substantial experience negotiating complex transactions involving security, privacy, and IP issues.
  • You have dealt with legal complexity while balancing legal risks.
  • Excellent working knowledge of commercial contract negotiation practices, especially in the SaaS industry, and applicable accounting rules, including those relating to revenue recognition.
  • Demonstrated ability to balance legal and business considerations, problem-solving, and effectively counsel internal clients by providing them with clear and concise advice and creative solutions on timelines to meet business needs; detail-oriented, organized, efficient, and resourceful with strong follow-through.
  • Active state bar membership, preferred.
  • Knowledge of intellectual property, data privacy, and contract law, preferred.
  • You have managed time, and client expectations, in the face of competing demands.
